Role Overview

One of our clients is seeking a commercially minded 
Legal Counsel
 to build and manage the legal function for a fast-growing, service-based business. The ideal for someone who is comfortable operating independently, setting up legal foundations, and providing pragmatic legal guidance in a high-growth startup environment. You will work closely with founders and senior stakeholders, balancing strong legal risk management with the need for speed and commercial practicality.

Key Responsibilities

Contract Lifecycle Management

- Design, draft, review, and manage 
Master Service Agreements (MSAs)
, 
Statements of Work (SOWs)
, and 
Non-Disclosure Agreements (NDAs)
 tailored to a consulting and services-based business model
- Own the end-to-end contract lifecycle, including negotiation, execution, and renewal processes

Corporate Governance & Compliance

- Establish and maintain 
corporate secretarial standards
- Ensure ongoing compliance with

Singapore’s Companies Act
 and related statutory requirements
- Support board, shareholder, and corporate governance matters as needed

Risk Mitigation & Legal Advisory

- Identify and assess potential 
legal and commercial risks
 in a fast-paced startup environment
- Provide 
practical, commercially-aware legal advice
 to internal stakeholders
- Balance legal rigour with business velocity, enabling informed decision-making

Regulatory & External Counsel Management

- Act as the primary point of contact for 
external legal counsel
- Manage outsourced legal work efficiently and cost-effectively
- Ensure all

intellectual property (IP)
 is properly protected, documented, and maintained

Must-Have Qualifications

- 3–5 years of legal experience
, either in a law firm or in-house role
- Strong working knowledge of 
Singapore law
, particularly commercial contracting
- Proven experience drafting and negotiating 
commercial agreements
- Strong

commercial acumen
, with the ability to balance “legal perfection” against business needs
- Comfortable operating in a 
startup or high-growth environment
- Ability to work independently and build legal processes from scratch
